Autism Resources South Africa Marketplace Terms and Conditions

INTRODUCTION
Autism Resources South Africa operates an online marketplace at www.autismresources.co.za where Sellers and customers can conduct transactions. As a service provider, Autism Resources South Africa offers various services such as listing, warehousing, fulfilment, and returns to Sellers. It is important to note that Autism Resources South Africa does not directly participate in the actual sale between Sellers and customers, but rather acts as the payment processing agent for the Seller.
USE OF THE SERVICE
1.1 Sellers can apply to use the Services provided by Autism Resources South Africa, and the approval of these applications is solely at the discretion of Autism Resources South Africa.
1.2 By using the Services, the Seller gives Autism Resources South Africa the authorization to perform the specified services as outlined in these Terms and Conditions.
1.3 Autism Resources South Africa has the right to terminate or suspend any Service or agreement immediately upon providing written notice. The Seller also has the right to terminate immediately with written notice.
1.4 Autism Resources South Africa reserves the right to make changes to the Terms and Conditions and Fees at any time. Sellers will receive written notification of any changes at least 10 business days in advance. It is the Seller's responsibility to either agree to the changes or terminate the use of the Services if they are unsatisfied.
1.5 Autism Resources South Africa is designated as the payment-processing agent for the Seller, and the relationship between the parties is that of independent contractors, with no partnership, agency, or employment affiliation.
FEES SCHEDULE
2.1 The Fees Schedule lists the charges for the services provided, and Autism Resources South Africa has the right to modify these fees. The applicable fees are the ones published at the time of payment.
2.2 The fees include:
(a) Sales Services Fee: The Seller pays a 20% Sales Fee for each item sold minus any returned items, based on the Sales Price.
(b) Returns Services Fee: The Seller pays a 6.5% Return fee, based on the Sales Price of the item, excluding any items returned at no fault of the Seller.
(c) Warehouse Storage Fee: The Seller pays a monthly storage fee of R200/m3 based on the total volume of all products stored in the Autism Resources South Africa warehouse.
(d) Fulfilment Fees: An additional fulfilment fee is incurred by the Seller for all items shipped by Autism Resources South Africa that exceed 7 kg in weight or 350 000 cm3 in volume.
(e) Penalty Fees: The Seller can incur penalty fees for non-adherence to these Terms and Conditions.
2.3 Payment of Fees: Autism Resources South Africa will deduct the amounts payable by the Seller from the sales proceeds owed to the Seller.
2.4 Disputing invoices: The Seller can dispute fees within one month of receiving the invoice; otherwise, the invoice is considered final and binding.
LISTING SERVICE
3.1 Autism Resources South Africa provides a Listing Service to the Seller, allowing Customers to purchase the Seller's products on the Website.
3.2 Autism Resources South Africa has the right to decide not to list certain Products on the Website or remove specific product listings from the Website.
3.3 The Seller is responsible for providing accurate and complete listing information, including the correct sales price.
3.4 Autism Resources South Africa will make the Product available for sale on the Website until the Seller notifies them that the Product is no longer available or if it is out of stock at the Autism Resources South Africa Warehouse.
3.5 Autism Resources South Africa will notify the Seller of any transactions by the next business day and provide Order Information for each Transaction.
3.6 Autism Resources South Africa acts as the payment-processing agent and collects all Sales Proceeds on behalf of the Seller.
3.7 Autism Resources South Africa assumes the risk of payment fraud, but any other forms of fraud are the Seller's responsibility. Autism Resources South Africa may investigate and take action in cases of suspected fraud.
WAREHOUSE SERVICE
4.1 Sellers have the choice to offer Products in two ways:
(a) By delivering the Products to Autism Resources South Africa Warehouses after receiving orders from Customers (known as "order-based fulfilment").
(b) By delivering the Products to the Warehouses before Customers place orders (known as "stock-based fulfilment").
4.2 Autism Resources South Africa offers a Warehouse Storage Service to Sellers who opt for stock-based fulfilment.
4.3 Autism Resources South Africa reserves the right to discontinue the option for stock-based fulfilment at its discretion or require stock-based fulfilment for specific Products.
4.4 Delivery to Autism Resources South Africa:
(a) For order-based fulfilment Products, Sellers must deliver the correct Products to the Warehouse within an acceptable and agreed lead-time.
(b) For stock-based fulfilment Products, Sellers must deliver Products to the Warehouse based on estimated future sales volume.
(c) Sellers are responsible for the delivery costs to the Warehouse for both order-based fulfilment Products and stock-based fulfilment Products.
4.5 Right to reject: Autism Resources South Africa can reject a delivery if it has external damage or exceeds the agreed quantity. Autism Resources South Africa can also reject Products after delivery, and the Sellers must retrieve the rejected Products.
4.6 Storage: Autism Resources South Africa electronically stores and tracks inventory. Sellers can request inventory records but must regularly reconcile their own inventory.
FULFILLMENT SERVICE
5.1 Autism Resources South Africa offers a Fulfilment Service to the Seller, which includes delivering products to customers and handling customer returns.
5.2 Delivery to Customer:
(a) Autism Resources South Africa takes care of packaging, delivery, and returns of Products.
(b) Products may be delivered together or separately by Autism Resources South Africa.
(c) Delivery fees are the responsibility of Autism Resources South Africa and are agreed upon between Customers and Autism Resources South Africa.
5.3 Customer Returns:
(a) Autism Resources South Africa facilitates all Customer returns but may require the Seller to interact with the Customer regarding a Product complaint or return.
(b) If Autism Resources South Africa determines that a Product is returnable, the Seller must bear the costs associated with the return and provide a repair, replacement, or refund to the relevant Customer.
(c) If Autism Resources South Africa determines that the reason for a return was not caused by the Seller (for example, if the Customer changed their mind), the Seller does not need to bear any costs related to the return – a no-fault return.
5.4 When necessary to communicate with Customers, the Seller must provide feedback within a reasonable timeframe. Customer information provided by Autism Resources South Africa can only be used for its intended purpose.
SALES PROCEEDS
6.1 Remittance of Sales Proceeds: Autism Resources South Africa remits the Sales Proceeds collected once per month or as agreed, deducting any applicable fees as specified in the Fees Schedule.
6.2 Bank Account: The Seller must provide accurate and updated bank details for the Seller Bank Account. If there are any changes to the bank account information, Autism Resources South Africa may delay payments. All payments are sent to the Seller Bank Account.
6.3 The Seller is responsible for paying all taxes, duties, levies, fees or charges assessed, incurred or required to be collected or paid for any in connection with any sale of Products by the Seller. If a taxing authority requires Autism Resources South Africa to pay Taxes, the Seller will promptly reimburse Autism Resources South Africa.
6.4 The fees paid by the Seller to Autism Resources South Africa do not include Taxes, and the Seller is responsible for paying any applicable Taxes imposed on those fees.
ADVERTISING AND PROMOTIONS
7.1 Autism Resources South Africa has the discretion to advertise the sellers' products on the website or through external channels as deemed appropriate, at their own cost.
7.2 Sellers have the option to request specific advertising for their products, but in such cases, the cost of advertising will be the responsibility of the seller. Autism Resources South Africa will provide the seller with a clear breakdown of the advertising costs before proceeding with any promotional activities.
7.3 The seller acknowledges that the success of advertising campaigns can vary, and there will be no expectation or guarantee of achieving a specific minimum result or return on investment. Advertising outcomes are dependent on various factors beyond the control of Autism Resources South Africa, and results may vary for different sellers and products.
7.4 Autism Resources South Africa reserves the right to modify or discontinue any advertising initiatives or campaigns at any time, without prior notice to the sellers. This may include changes in advertising strategies, budget allocations, or the availability of certain advertising channels or placements.
PACKAGING
8.1 When delivering Products to the Autism Resources South Africa warehouse:
(a) Sellers must ensure that packaging is designed to facilitate efficient storage and handling within the warehouse.
(b) Products should be securely packaged to prevent any damage or loss during transportation and handling.
(c) Sellers must clearly label each package with their unique identifier, such as a shipment ID or order number, to enable proper identification and tracking within the warehouse.
8.2 Sellers are responsible for ensuring that all individual products are appropriately packaged for retail sale:
(a) All products must be individually packed or packed in the unit size that the product is offered for sale.
(b) Retail packaging should be of high quality, durable, and suitable for the specific product being sold.
(c) Sellers must ensure that the packaging adequately protects the product during transit to prevent damage or deterioration.
(d)Sellers should follow any specific packaging guidelines provided by Autism Resources South Africa to ensure consistency and professionalism in the presentation of products.
USE AND DISCLOSURE OF INFORMATION:
9.1 Autism Resources South Africa may publicly rate and share feedback on Products and Seller performance based on customer ratings.
9.2 In the case of a complaint, Autism Resources South Africa may share the Seller's contact details with the complainant, and the Seller must make good faith efforts to resolve the complaint.
9.3 Autism Resources South Africa can access and disclose Seller, Transaction, and Product information as necessary to cooperate with regulatory requests, protect systems and Customers, and ensure business integrity and operation.
9.4 Both parties agree to handle personal information (PI) received from each other in accordance with the Protection of Personal Information Act.
9.5 Both parties will process PI responsibly, ensure its security, and take necessary measures to identify risks and maintain safeguards.
